1. The parties and how this agreement is made

courtdemy Limited ("courtdemy", "we", "us") is registered in England and Wales (Company No. 17359443). Registered office: 12 Lakeside Rise, Manchester, England, M9 8QD. Contact: hello@courtdemy.com.

The club is the organisation named in the acceptance record of this agreement (the "Club"): the copy the Club receives carries its legal name, address and VAT number, the name and role of the person who accepted, and the time. The person who accepts it confirms that they are the Club's owner or an administrator with authority to bind the Club, types their full name as a signature, and we record their name, role, the time and the network address of the acceptance. A copy goes to the Club by email. From then on the Club's staff use the panel under this agreement.

This agreement sits beside our Terms of Service and our Privacy Policy, which govern every courtdemy account, including the accounts of the Club's staff and members. Where they differ about the Club's own records, this agreement wins.

2. The service

2.1 What courtdemy provides. The club panel at club.courtdemy.com; the courtdemy app for the Club's members, through which they book courts, join matches, enter events, join programmes and buy from the Club's shop; the bells, pushes and messages those produce; Ask courtdemy, the support assistant in the panel and the app; and the connection to the Club's own Stripe account for card payments.

2.2 The plan and the fees. The Club is on the plan it chose, at the price shown at courtdemy.com/clubs when it accepted this agreement or agreed with it in writing. Fees are monthly, in advance, plus VAT where it applies, and change only with 30 days' notice by email. A plan in a free period pays nothing until the period ends.

2.3 The Club's money. Members pay the Club, never us: card payments land in the Club's own Stripe account under Stripe's terms; cash, bank transfers and the Club's credits are the Club's. courtdemy holds no money of the Club's or its members'. Refunds follow the Club's own rule, set in the panel.

2.4 Accounts and staff. The owner's account is the Club's. The Club invites its staff, chooses their roles and rights, and is responsible for what they do in the panel. Credentials are kept safe and never shared. The Club tells us without delay if it believes an account has been compromised.

2.5 Fair use. The panel is used to run the Club. The Club does not use it to send unlawful, misleading or abusive content, to collect data it has no right to, to resell the service, or to interfere with the service or other clubs. Players' accounts, levels, matches at other clubs and private messages are not the Club's to read or use.

2.6 Availability and support. We work to keep the service running at all hours and tell the Club about planned work in advance. We do not promise uninterrupted service. Support is by email at hello@courtdemy.com and through Ask courtdemy in the panel.

2.7 Term and ending. The agreement runs month to month. The Club may end it at any time with effect from the end of the paid period. We may suspend or end it if fees stay unpaid 14 days after a reminder, or if the Club breaks this agreement and does not put it right within 14 days of our notice. When it ends, the Club may export its records from the panel for 30 days; after that we delete them as section 3.6 says.

3. The data

3.1 Who is responsible for what. courtdemy is the controller of every courtdemy account: a player's profile, level, matches, payments in the app and messages. The Club is the controller of its own records: its members, its court calendar, its lessons and programmes, its competitions and its shop. Club staff manage those records in the panel, which we run for the Club; for that processing courtdemy is the Club's processor and acts only on the Club's instructions, which are this agreement and the panel's functions.

3.2 The member record, when a person joins. When a person joins the Club in the courtdemy app, we pass the Club the member record: the person's name, email address, phone number, playing level, age band and photo, and then their bookings, matches, event entries, programme places, purchases and payments at the Club as they happen. The Club receives the member record as a controller in its own right, for two purposes: running the person's membership, and communicating with them about the Club. The Club uses it under its own privacy notice, which the Club links in the panel so that members see it on the Club's page in the app. Annex C offers a paragraph for that notice.

3.3 What courtdemy does as the Club's processor. We process the Club's records only to provide the panel and the app to the Club and its members. We keep them confidential, limit access to staff who need it, and protect them with appropriate technical and organisational measures: encrypted connections, access by role, row-level security that walls each club from the others, logged access and backups. We help the Club answer its members' requests under data protection law where the request concerns the Club's records. We tell the Club within 48 hours of becoming aware of a personal data breach affecting its records. We use the sub-processors listed in Annex B and give the Club 30 days' notice before adding one; the Club may object on reasonable grounds and, if we cannot resolve it, end this agreement.

3.4 The Club's duties as controller. The Club has a lawful basis for what it does with the member record and a privacy notice that names courtdemy as the source of it. It keeps its records accurate, gives panel access only to people who need it, answers its members' requests about its own use of their details, and keeps the member record only for as long as it runs the membership and the law requires. The Club does not sell the member record or share it with anyone except its own processors, under its notice.

3.5 What stays courtdemy's. The Club gains no right over a player's courtdemy account. A player who leaves the Club keeps their account, their level and their history; the Club keeps the records of what happened at the Club.

3.6 When the agreement ends. The Club's records stay available for export for 30 days after the end. After that we delete them, except what the law requires us to keep (payment records, seven years), what players' own accounts keep (their bookings and results, under our Privacy Policy), and backups, which expire within 90 days.

4. The members' data and marketing

4.1 The Club is the sender. Every piece of news and every offer the Club sends through the panel goes out in the Club's name. The Club is responsible for its content, its lawfulness and its timing.

4.2 The switch. Members choose, per club, whether they receive offers: in-app and push offers are on by default when a person joins and off in one tap on the Club's page in the app; offers by email are off until the member turns them on. The panel sends an offer only to members who have it on, never to a junior, and never twice in seven days to the same member. The Club's service messages, about a booking, a match, a programme or a payment, are not offers and go to everyone they concern.

4.3 Consent and opt-outs. Where the law needs consent for a message, by email or text in particular, the Club obtains and records it. The Club honours every opt-out, through the panel or any other way a member tells it, and does not contact members about the Club's offers outside the panel unless it has its own lawful basis to do so.

4.4 Juniors. The Club never directs marketing at a member under 18, in the panel or outside it.

4.5 If the Club gets it wrong. The Club indemnifies courtdemy against claims, regulatory fines, losses and reasonable costs arising from the Club's use of its members' details or its marketing. We may pause the Club's sending while a complaint is looked into.

5. General

5.1 Liability. Nothing in this agreement limits liability that the law does not allow to be limited. Subject to that, neither party is liable to the other for indirect or consequential loss, and courtdemy's total liability under this agreement in any 12-month period is limited to the fees the Club paid in the 12 months before the claim.

5.2 Confidentiality. Each party keeps the other's non-public information confidential and uses it only for this agreement.

5.3 Changes to this agreement. We may change it with 30 days' notice by email to the owner and in the panel. The new version must be accepted before the panel opens again; the old acceptance stays in the record. A Club that does not accept may end the agreement under 2.7.

5.4 Notices. To the Club: the owner's email address on the account. To courtdemy: hello@courtdemy.com.

5.5 Law. This agreement is governed by the law of England and Wales, and its courts have exclusive jurisdiction, without prejudice to any mandatory consumer or data protection rights in the Club's country.

5.6 The whole agreement. This agreement, the Terms of Service, the Privacy Policy and the plan chosen are the whole agreement between the Club and courtdemy about the service.

Annex A. The member record

What the Club receives when a person joins: full name, email address, phone number, playing level (coach-signed or self-reported, as marked), age band (adult or junior), profile photo where the person has one, and the date of joining. What the Club receives afterwards, as it happens: the person's court bookings, open matches, event entries, programme places, shop purchases and payments at the Club, and their attendance at the Club's sessions. What the Club never receives: the person's password, their activity at other clubs, their private messages, their payment card details.

Annex B. Sub-processors

Supabase (database, authentication and file storage; United Kingdom and European Union regions). Vercel (the club panel and courtdemy.com). Stripe (payments, on the Club's own account). Resend (email). Expo (push notifications). Anthropic (Ask courtdemy, the support assistant; a conversation is processed to answer it and is not used to train models). Changes with 30 days' notice, as 3.3 says.

Annex C. A paragraph for the Club's privacy notice

"When you join [Club] through the courtdemy app, courtdemy passes us your name, contact details, playing level and age band, and then your bookings, matches, entries and payments with us as they happen, so that we can run your membership and tell you about the club. We use them under this notice. Offers from us are a switch on our page in the app, which you can turn off at any time. Questions about how we use your details: [the Club's contact]."
